Does AVI to MKV conversion re-encode my video?

Normally no — Xvid or DivX video and MP3 or AC-3 audio all sit comfortably inside Matroska, so the streams are copied over unchanged. The result is bit-identical to the source and the conversion runs at disk speed.

What do I actually gain over keeping the AVI?

Soft subtitles, chapters, proper title metadata, and much better seeking behavior than the aging AVI index provides. Media servers also identify and scrape MKV files more reliably, which matters once the collection goes into Plex or Jellyfin.

Will the old Xvid video inside the new MKV play everywhere?

The container will be recognized, but the 2000s codec inside is the real question — some newer TVs have quietly dropped DivX/Xvid decoding. VLC, Kodi, and server-side transcoding all handle it; for stubborn devices, a one-time re-encode to H.264 solves it permanently.
